CacheAI End User Terms

Entity: CacheAI Technologies, Inc.
1. Acceptance of Terms
These End User Terms (the "Terms") are entered into between you ("Customer", "you") and CacheAI Technologies, Inc., a Delaware corporation ("CacheAI", "we", "us").
By accessing or using the Cache AI Solution (including APIs, SDKs, and related services), you agree to be bound by these Terms.
2. Definitions
"Cache AI Solution" means the software, APIs, services, middleware, and related technology provided by CacheAI.
"Core AI System" means the proprietary components of the Cache AI Solution, including but not limited to: internal state reuse mechanisms, hidden-state reuse logic, cache hit detection logic, evaluation methods and benchmark data, optimization, routing, and orchestration logic, system prompts and prompt templates, and any non-public technical know-how.
"Cache Hit" means a successful reuse of previously computed internal or semantic state as determined by CacheAI.
"Usage" means all requests processed through the Cache AI Solution.
"Customer Data" means inputs submitted by you and outputs generated for you.
3. License Grant
Subject to these Terms, CacheAI grants you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Cache AI Solution solely for your internal business purposes.
4. Restrictions
You shall not, and shall not permit any third party to:
1. Reverse engineer, decompile, or attempt to derive the Core AI System
2. Analyze, extract, or infer cache hit detection logic or internal reuse mechanisms
3. Benchmark, publish, or disclose performance results without prior written consent
4. Use the Cache AI Solution to build or improve a competing product or service
5. Train or fine-tune any model using the Cache AI Solution or outputs
6. Resell, sublicense, distribute, or provide the Cache AI Solution as a managed service
7. Offer the Cache AI Solution as part of a white-label or bundled product that obscures CacheAI's role
8. Circumvent usage tracking, billing mechanisms, or access controls
All rights not expressly granted are reserved by CacheAI.
5. Implementation Responsibility
You are solely responsible for the implementation, integration, and operation of the Cache AI Solution within your systems.
CacheAI does not provide implementation services unless separately agreed in writing.
Any third-party support (including from partners) is subject to separate agreements.
6. Fees and Billing
Fees are based on usage, specifically cache hit-based pricing.
• Charges apply only to Cache Hits
• Prepaid credits may be used as a payment method
• Pricing details are set forth in a separate Pricing List or Order Form
CacheAI shall have final authority in determining: what constitutes a Cache Hit, usage measurement, and billing calculations.
All fees are non-refundable unless otherwise agreed in writing.
7. Data and Logs
You retain ownership of Customer Data.
However, you grant CacheAI the right to: collect and analyze usage data, logs, and metadata; and use such data to operate, maintain, and improve the Cache AI Solution.
CacheAI will not use Customer Data to train external models unless explicitly agreed.
8. Privacy
Personal data is handled in accordance with the CacheAI Privacy Policy. Where applicable, a Data Processing Addendum (DPA) may apply.
9. Service Levels
Service levels, uptime commitments, and support terms (if any) shall be defined in an applicable Order Form or SLA.
Unless explicitly stated, the Cache AI Solution is provided on an "as-is" and "as-available" basis.
10. Intellectual Property
All rights, title, and interest in and to the Cache AI Solution and Core AI System remain with CacheAI.
You acquire no ownership rights.
Any feedback you provide may be used by CacheAI without restriction.
11. Disclaimer
The Cache AI Solution is provided "as is" and without warranties of any kind.
CacheAI does not guarantee: accuracy, performance outcomes, or business results.
12. Limitation of Liability
To the maximum extent permitted by law:
CacheAI shall not be liable for any indirect, incidental, or consequential damages.
Total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
Notwithstanding the foregoing, specific liability terms may be modified in an applicable Order Form.
13. Termination
CacheAI may suspend or terminate access if you: violate these Terms, misuse the system, or attempt to access protected components.
Upon termination, your right to use the Cache AI Solution ceases immediately.
14. Prohibited Commercial Use
You may not: provide the Cache AI Solution as a managed service, resell or sublicense it, or embed it in a product that hides CacheAI's involvement.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
